Terms of Service

Effective date: January 7, 2026

These Terms of Service ("Terms") govern website design, development, hosting means, and related services provided by Redshift Web Designs ("Redshift," "we," "us") to you ("Client," "you"). By requesting services or paying an invoice, you agree to these Terms.

1) Scope of Services

Redshift provides custom website design and hand-coded development services, typically delivered as a static website unless otherwise specified in writing.

Standard build (unless your proposal says otherwise):

  • Up to 5 pages
  • Responsive layout (mobile-first)
  • Basic on-page SEO setup (page titles, meta descriptions, sitemap)
  • Analytics installation (Client provides account access)
  • Contact form setup (with spam protection)

Anything not listed in your proposal/estimate is out of scope and may require a change order.

2) Plans

A) One-time build (Lump Sum)

  • You pay a one-time project fee as agreed in your proposal or invoice.
  • After final payment, you receive the deliverables described in Section 5 (Handoff & Deliverables).
  • Ongoing updates after launch are not included unless you purchase add-ons or maintenance.

B) Monthly plan

  • Monthly plan includes hosting and in-scope updates while your subscription is active.
  • The monthly plan has a 12-month minimum commitment.
  • The monthly plan does not transfer ownership of site files (see Section 6).

3) Client Responsibilities

You agree to:

  • Provide timely content (text, images, logos), access, and approvals needed to complete the project.
  • Confirm ownership/rights to all content you provide.
  • Respond to feedback requests within a reasonable timeframe (typically 3-5 business days) to avoid timeline delays.

Delays in content or feedback may extend delivery dates.

4) Revisions, Edits, and Definitions

To avoid misunderstandings, the following definitions apply:

"Page"

A single distinct URL/page template (e.g., Home, About, Services). Complex pages with many sections still count as one page, unless additional templates are required.

"Revision round"

One consolidated feedback pass on the staging site. Feedback should be delivered as a single organized list.

  • One-time build: 2 revision rounds included
  • Monthly plan build: 3 revision rounds included (during initial build)

"Edit" (Monthly plan, in-scope)

Edits include updates to existing text, images, links, and minor layout adjustments on existing pages. Examples:

  • Replace photos
  • Update hours/contact info
  • Update service descriptions
  • Swap testimonials
  • Minor layout tweaks within current design system

Edits do not include:

  • New pages or new page templates
  • New major sections requiring design/development work
  • Redesigns or rebrands
  • Custom features/integrations not already agreed
  • Copywriting, photography, illustration
  • Ongoing development work (app-like functionality)

If a request is out of scope, we will quote it as an add-on or change order.

5) Handoff & Deliverables (One-time Build)

After final payment, Redshift provides a handoff package that typically includes:

  • Production-ready site output (compiled/ready-to-deploy)
  • Project source files (uncompiled) and build configuration, if applicable
  • Site assets provided/created for the project (excluding third-party licensed items)
  • A short README describing local development and deployment steps

Note: Third-party themes, paid plugins, fonts, stock photos, or licensed assets are only included if explicitly purchased and licensed for your use. Otherwise, you are responsible for licensing.

6) Ownership & Licensing

One-time build ownership

Upon final payment:

  • Client owns the website files produced for the project (excluding Redshift's pre-existing tools/templates and any third-party licensed assets).
  • Client may host and deploy the site anywhere.

Monthly plan ownership

  • The monthly plan is a service subscription. Site files remain the property of Redshift.
  • You receive the benefit of the site being hosted and maintained while your subscription is active.
  • If you require ownership transfer, you must purchase a one-time build (or an ownership transfer arrangement) in writing.

7) Hosting, Domains, and Email

  • Domains: Client provides and owns the domain. Redshift can assist with DNS and setup.
  • Email: Email hosting is not included unless explicitly stated. You keep your email provider; we can assist with DNS records when needed.
  • Hosting/SSL: Included with the Monthly plan. For One-time builds, hosting is optional and offered as an add-on.

8) Payments, Late Fees, and Non-Payment

  • Invoices are due as stated on the invoice/proposal.
  • Late payments may delay work, support, and delivery timelines.
  • If payments remain outstanding, Redshift may pause work until accounts are current.
  • For Monthly plans, if a payment fails and is not resolved within a reasonable time, Redshift may suspend hosting and access until payment is made.

9) Cancellation & Termination

One-time build

If Client cancels after work has begun, Client is responsible for payment for work completed to date, plus any non-refundable costs incurred.

Monthly plan

  • Monthly plan requires a 12-month minimum commitment.
  • If you cancel early, you owe the remaining monthly payments through month 12.
  • If the subscription is canceled or terminated, Redshift may take the site offline and end hosting/services.

10) Changes, Add-ons, and Change Orders

Any request outside the agreed scope may require:

  • An add-on fee (e.g., additional pages, booking integration, review widget, edit packs), and/or
  • A written change order describing new scope, pricing, and timeline.

We do not start out-of-scope work without agreement.

11) Portfolio Use

Unless you request otherwise in writing, Redshift may display the finished project (or screenshots) in our portfolio and marketing materials.

12) Warranties and Disclaimers

Redshift provides services "as is" and does not guarantee:

  • Specific search engine rankings
  • Specific sales/lead results
  • Uninterrupted availability due to means outside our control (hosting provider outages, DNS issues, third-party services)

We will make reasonable efforts to correct defects that are caused by our work and reported within a reasonable period after launch.

13) Limitation of Liability

To the maximum extent permitted by law:

  • Redshift is not liable for indirect, incidental, special, consequential, or punitive damages.
  • Redshift's total liability for any claim is limited to the amount you paid Redshift for the services giving rise to the claim.

14) Third-Party Services

If your website uses third-party services (analytics, forms, schedulers, embeds, etc.), those services are governed by their own terms and privacy policies. Redshift is not responsible for outages, policy changes, or billing by third parties.

15) Privacy

Your use of the site is also governed by our Privacy Policy: /legal/privacy.

16) Governing Law

These Terms are governed by the laws of the State of Georgia, without regard to conflict of law rules. Venue for disputes will be in Georgia courts unless otherwise required.
